Real Estate Transactions

Sale of Contaminated Property • Represented an international chemical company in the sale of an 11-acre parcel of vacant land subject to off-site contamination in Carson, California, valued at $7 million. 

Formation of HOA and DRE Compliance • Represented a small residential developer with respect to the creation of a homeowners’ association and California Department of Real Estate regulatory compliance. 

Serving National Fast Food Client’s Real Estate Needs • Represented one of the world’s largest fast food franchises in a variety of matters affecting some of its more than 1,000 outlets in Southern California, including lease option issues, access easements, environmental compliance issues, and landlord-tenant disputes. 

Purchase of Land for Townhouse Development • Represented a residential developer in the acquisition of three-acre parcel of commercial land in Orange County, California, for the purposes entitling the property to construct 49 townhouses. 

Assisted Living Transactions (ordinarily a combination of business and real estate transactions)

Sale of Large Assisted Living Facilities Pursuant to Court Order • Represented the seller in negotiating and documenting a Court-ordered sale of a $14 million assisted living portfolio with unusual constraints related to timing, licensing issues and corporate structure.

Sale of Assisted Living Portfolio • Representation of RCFE owner who is in the process of selling its entire portfolio of five assisted living facilities in the amount of $15 million.

Purchase of Skilled Nursing and Assisted Living Facility • Represented the purchaser of a skilled nursing facility and assisted living facility located in Riverside County in a deal valued at more that $4 million. 

Skilled Nursing Lease • Represented the landlord of a skilled nursing/assisted living facility which needed a new operator following a successful eviction of the former operator by our firm.  A new deal was struck to lease the facilities to a single operator and the emergency licensing of the same was negotiated. 

Assisted Living Purchase • Assisted the purchaser in the acquisition of three large assisted living facilities in San Diego and Orange Counties with a total purchase price in excess of $10 million. 

Business Transactions

Stock Purchase – Agricultural Company • Represented the purchaser in a stock purchase of a Ventura County based agricultural wholesale operation. 

Business Asset Purchases – Auto Collision Repair Shops • Represented the purchaser in a series of auto body shop business acquisitions throughout Los Angeles County. 

Business Formation for Start-up • Formed an LLC and counseled a start-up fitness products company regarding a variety of start-up issues. 

Leasing

Retail Leasing • Represented the landlord of a San Bernardino County high-profile shopping center with regard to a long-term lease of 105,000 square feet of retail space to a major retailer. 

Agricultural Leasing • Represented the owner of 500 acres of Ventura County agricultural land in the negotiation of a three-year lease with a commercial grower.  

Office Subleasing • Represented a well-known movie production company with multiple subleasings of more than 50,000 square feet of office space no longer needed by the company after it moved into its new headquarters in Santa Monica. 

Retail Leasing – Beverly Hills • Represented the lessee and both negotiated and documented the leasing of a high-end jewelry store chain on Rodeo Drive. 

Cellular and Television Towers

Cellular Tower Leasing – Tenant • Our lawyers have represented a well-known cellular company in leasing and location issues related to its cellular sites throughout Southern California. 

Cellular Tower Leasing – Agricultural Landlord • Represented an agricultural entity in Ventura County with regard to the sublease of space for a new cellular tower on its property.

Cellular Tower Leasing – University as Landlord • Represented a well-known university in its negotiations with a nationally prominent cellular company in the relocation of a cell tower located on an historic building on its campus. 

Television Tower Entitlement/Permitting • Represented the largest independent television station operator in the country with regard to the permitting and construction of a new 400 foot television tower constructed in Monterey County. 

Television Tower Sale • Represented the owner of a television tower in Santa Cruz with respect to the sale of that tower to one of the tenants on the tower. 

Trust Matters

Trustee Services – Grantor Trust • Jay serves as a trustee of one of the Getty family trusts, which includes extensive real estate, art and investment assets.

Trustee Services – Liquidating Trust • Jay serves as a trustee of a liquidating trust that originally held interests in oil and gas leases across seven western states and with assets in excess of $10 million. 

Trust Counsel • Jay served for many years as counsel of record to one of the largest private trusts in the United States, which has media holdings in excess of $10 billion. 

Estate Planning • Our firm regularly provides trust and estate planning services for middle and upper income families who wish to have professionally planned estates.
